Standard Lithium Ltd. a fixé le prix de son offre publique souscrite, portant sur l’émission de 29 885 057 actions ordinaires au prix unitaire de $4.35, pour un produit brut total de $130mn. L’opération s’est déroulée sous la conduite d’un syndicat bancaire composé notamment de Morgan Stanley et Evercore ISI en tant que chefs de file, accompagnés de BMO Capital Markets, Canaccord Genuity, Raymond James, Roth Capital Partners et Stifel.

Capitaux mobilisés pour des projets prioritaires

Le produit net de cette levée de fonds sera affecté aux investissements sur les projets South West Arkansas et Franklin, situés respectivement dans le sud-ouest de l’Arkansas et dans l’est du Texas. Ces deux sites sont au cœur de la stratégie de développement industriel de la société, qui vise une mise en production commerciale à moyen terme. Une part des fonds servira également à renforcer le fonds de roulement et à couvrir les dépenses générales.

Standard Lithium a par ailleurs accordé aux banques une option de surallocation permettant d’acquérir jusqu’à 4 482 758 actions supplémentaires, exerçable dans un délai de 30 jours suivant la clôture de l’offre, au même prix que celui fixé pour les actions initiales.

Calendrier réglementaire et cadre juridique

La finalisation de l’opération est attendue autour du 20 octobre, sous réserve des autorisations réglementaires requises par la TSX Venture Exchange et le NYSE American. Pour encadrer cette émission, la société a déposé un supplément de prospectus auprès des autorités réglementaires de toutes les provinces canadiennes, à l’exception du Québec, ainsi qu’un prospectus équivalent aux États-Unis dans le cadre du système de divulgation multijuridictionnel entre les deux pays.

L’offre repose sur un prospectus de base commun enregistré auprès de la Securities and Exchange Commission (SEC) sur formulaire F-10, validant le cadre transfrontalier de l’opération. Cette levée de fonds permet à Standard Lithium de renforcer sa structure financière dans un contexte de concurrence croissante pour les ressources de lithium aux États-Unis.
